1. Agreement and eligibility

These Terms of Service (“Terms”) govern access to and use of O2F (Order to Fulfill), provided by ALINEDS LLC d/b/a ALINEDS DEFENSE LLC (“ALINEDS DEFENSE,” “we,” “us,” or “our”).

The customer is the organization identified in the applicable subscription, checkout, or order form (“Customer,” “you,” or “your”).

By accepting these Terms through an authorized enrollment process or signing an order form incorporating them, you agree to these Terms on behalf of Customer and represent that you have authority to bind that organization.

O2F is intended for business use by adults acting on behalf of an organization.

An “Order Form” means an order document accepted by both parties that identifies the subscription, fees, term, or other agreed conditions. If an Order Form expressly conflicts with these Terms, the Order Form controls for that subscription. Any applicable data processing agreement controls concerning its specific data-protection subject matter.

2. The service

O2F is an online platform for managing post-award workflows, including awards, orders, sourcing, procurement, receiving, quality, shipping, invoicing, and delivery.

During an active subscription, we grant Customer a limited, non-exclusive, non-transferable right to access and use O2F for its internal business operations, within the scope of its subscription.

Customer may permit its authorized personnel to use O2F. Customer is responsible for their compliance with these Terms.

We may update and improve the service. We will not materially reduce the core functionality of a paid subscription during its current term without providing a reasonable alternative or an appropriate remedy.

3. Accounts and access

Customer’s administrators invite users and assign roles and permissions.

Customer is responsible for:

  • Providing accurate account and billing information.
  • Managing authorized users and promptly removing access when appropriate.
  • Protecting credentials and preventing account sharing.
  • Activities performed through its accounts, except to the extent caused by our breach of these Terms.
  • Promptly notifying us of suspected unauthorized access.

We may require reasonable identity or authority verification before acting on account, billing, or data requests.

4. Plans and usage limits

Subscription features, included seats, additional-seat pricing, active-order allowances, and other limits are specified at enrollment or in an Order Form.

Starter and Growth subscriptions may be purchased monthly or annually. Enterprise subscriptions are quoted and billed annually under an Order Form.

Additional seats are billed with the subscription according to the pricing disclosed when they are added. Any proration or change to the recurring charge will be disclosed before confirmation.

An active order is a sales order that is not closed or cancelled. Exceeding a plan’s active-order allowance currently produces an upgrade prompt; it does not automatically block existing workflows or authorize an undisclosed charge.

Onboarding and other professional services are charged separately when agreed. Their scope, fees, and delivery terms will be documented separately.

5. Free trials

Eligible Starter and Growth subscriptions begin with a seven-day trial. A valid payment card is required.

Before enrollment, we will disclose the trial’s end date, the selected subscription price and billing frequency, whether the trial converts automatically, and how to cancel.

Unless cancelled before the disclosed trial end time, the trial converts to the selected paid subscription and the disclosed subscription fee is charged. Automatic conversion requires affirmative authorization during enrollment.

We will send a trial-ending reminder before the first subscription charge.

Customer may cancel during the trial without a subscription charge. Separately agreed onboarding or professional-service charges are governed by their own terms.

Any different trial conditions must be clearly disclosed before Customer accepts them.

6. Fees, billing, and taxes

Subscription fees are payable in advance for the selected billing period.

Card payments are processed through Stripe. Customer authorizes the recurring charges it expressly accepts during enrollment. O2F does not receive or store full payment card numbers.

Enterprise invoice payment terms are specified in the applicable Order Form.

Customer is responsible for applicable transaction taxes, excluding taxes based on our net income. Taxes will be identified where required. Customer must provide valid exemption documentation when claiming an exemption.

Please report suspected billing errors promptly to info@a-defense.com. We will investigate disputed charges in good faith.

7. Renewal, cancellation, and price changes

Starter and Growth

Unless cancelled, monthly and annual subscriptions renew for successive periods matching the selected billing frequency, as disclosed and authorized at enrollment.

Customer may cancel renewal through the available subscription-management controls or by emailing info@a-defense.com from an authorized account contact. We will acknowledge cancellation.

Cancellation takes effect at the end of the current paid period. Access continues until that period ends, unless Customer requests earlier closure or access is suspended under these Terms.

Enterprise

Enterprise renewal and non-renewal requirements are specified in the Order Form. Enterprise subscriptions do not automatically renew unless the Order Form expressly provides for renewal.

Price changes

We will provide at least 30 days’ notice of an increase to recurring subscription prices. An increase will take effect no earlier than the next renewal after the notice period, unless Customer expressly agrees otherwise.

Customer may cancel renewal before the new price takes effect.

Refunds

Except as required by law, specified in an Order Form, or expressly provided in these Terms, paid subscription fees are non-refundable. Cancelling renewal does not ordinarily create a refund for an unused portion of the current billing period.

This does not limit Customer’s remedies for our material breach or an applicable service warranty.

8. Customer data and privacy

“Customer Data” means records, files, and other information submitted to O2F by or on behalf of Customer.

Customer retains ownership of Customer Data. Customer grants us permission to host, process, transmit, display, and otherwise use Customer Data only as necessary to provide, secure, and support the service, comply with law, and carry out Customer’s authorized instructions.

Customer is responsible for:

  • The accuracy, legality, and appropriateness of Customer Data.
  • Having the rights and permissions necessary to provide it.
  • Giving required notices to individuals whose information it supplies.
  • Configuring user access appropriately.

Our handling of personal information is described in the Privacy Policy. Where applicable, the parties will enter into a data processing agreement addressing processing performed on Customer’s behalf.

We do not acquire ownership of Customer Data by providing the service.

9. Confidentiality

Each party may receive non-public business, technical, financial, or other information from the other party that is identified as confidential or should reasonably be understood to be confidential.

Customer Data is Customer’s confidential information.

The receiving party will:

  • Use confidential information only to perform or exercise rights under the agreement.
  • Protect it with reasonable care.
  • Limit access to personnel and service providers who need it and are subject to appropriate confidentiality obligations.

These obligations do not apply to information the receiving party can demonstrate was lawfully known without restriction, independently developed, lawfully received from another source, or publicly available without breach.

A party may disclose confidential information when legally required. Where legally permitted, it will provide notice and reasonable assistance concerning protective measures.

Confidentiality obligations continue after the agreement ends while the information remains confidential.

10. Security and service providers

We will maintain reasonable technical and organizational safeguards appropriate to the service and the information we process.

We may use service providers to deliver O2F and remain responsible for our obligations under this agreement.

We will notify Customer without undue delay after confirming unauthorized access to or disclosure of Customer Data within systems under our responsibility, and provide information reasonably available to help Customer assess and respond to the incident.

Customer remains responsible for its own devices, networks, credentials, access decisions, and use of exported information.

11. Acceptable use and government-contract responsibilities

Customer must not:

  • Access or attempt to access another customer’s data without authorization.
  • Interfere with service security, integrity, or operation.
  • Introduce malicious software or use O2F unlawfully.
  • Circumvent subscription restrictions or access controls.
  • Resell the service or provide it to third parties without written permission.
  • Reverse engineer the service except where applicable law expressly permits it.
  • Upload information that Customer is not authorized to disclose or that the service is not authorized or configured to process.

Customer is responsible for its government-contract obligations, delivery commitments, inspections, invoicing, records retention, export controls, and other requirements applicable to its operations.

Customer must confirm that O2F is suitable for the information it intends to process. Unless separately agreed in writing and supported by the required service configuration and authorizations, Customer must not upload classified information or information requiring controls the service does not provide.

O2F does not itself certify Customer’s compliance with any government contract, procurement rule, or security framework.

12. No government affiliation or government submission

O2F is an independent product of ALINEDS DEFENSE. It is not affiliated with or endorsed by any government agency or procurement system, including DLA, DIBBS, or NECO.

O2F does not connect to DIBBS or NECO or submit invoices to WAWF on Customer’s behalf.

Customer remains responsible for reviewing information and completing required submissions through the relevant government systems.

13. Availability, support, and third-party services

We will use commercially reasonable efforts to operate and support O2F. The service may be temporarily unavailable because of maintenance, updates, infrastructure interruptions, or circumstances outside our reasonable control.

Any specific uptime commitment, support response time, service credit, or recovery commitment applies only if included in a separate written agreement.

Customer may contact support at info@a-defense.com.

Third-party services used directly by Customer may have their own terms. We are not responsible for services outside our control, without limiting our responsibility for providers we engage to perform our own obligations.

14. Intellectual property

We and our licensors retain ownership of O2F, its software, documentation, design, and associated intellectual property.

Customer receives only the access and use rights expressly granted under this agreement.

If Customer voluntarily provides suggestions or feedback, we may use them without obligation, provided we do not disclose Customer’s confidential information or personal information in doing so.

15. Limited warranty and disclaimers

We warrant that, during a paid subscription, O2F will materially conform to the functionality described in the documentation applicable to that subscription.

Customer must notify us promptly of a claimed material nonconformity and provide reasonable information needed to investigate.

We will use commercially reasonable efforts to correct a verified nonconformity. If we cannot correct it within a reasonable period, Customer may terminate the affected subscription and receive a prorated refund of prepaid fees for its unused remainder.

Except for the express commitments in this agreement and to the extent permitted by law, we disclaim other warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee uninterrupted or error-free operation, the accuracy of Customer-entered information, or a particular commercial or government-contract outcome.

16. Third-party claims

Claims concerning O2F

We will defend Customer against a third-party claim that Customer’s authorized use of O2F infringes that third party’s intellectual property rights, and pay damages and settlement amounts finally awarded or approved by us.

This obligation does not cover claims caused by Customer Data, unauthorized modifications, use outside the agreement, or combinations not supplied or authorized by us where the claim would not otherwise arise.

We may obtain continued-use rights, modify the affected service without materially reducing functionality, or terminate the affected subscription and refund its unused prepaid fees if another remedy is not reasonably available.

Claims concerning Customer’s materials or conduct

Customer will defend us against third-party claims arising from Customer Data that infringes another party’s rights or Customer’s unlawful use of O2F, and pay damages and settlement amounts finally awarded or approved by Customer.

This obligation does not apply to the extent a claim results from our breach or misconduct.

Claim procedure

The protected party must provide prompt notice, reasonable cooperation, and control of the defense to the defending party. No settlement may admit fault by, impose non-monetary obligations on, or require payment from the protected party without its consent.

17. Limitations of liability

To the extent permitted by applicable law, neither party is liable under this agreement for indirect, incidental, special, consequential, or punitive damages, or lost profits, revenue, business opportunities, or anticipated savings.

Each party’s total liability arising from the agreement is limited to the fees paid or payable by Customer for the affected service during the 12 months preceding the event giving rise to the claim.

For breaches of confidentiality, breaches of data-protection or security obligations, and obligations under Section 16, the liability cap is twice that amount.

These exclusions and caps do not limit:

  • Customer’s obligation to pay properly due fees.
  • Liability arising from fraud or willful misconduct.
  • Liability that applicable law does not permit the parties to exclude or limit.

These provisions apply regardless of the legal theory of a claim.

18. Suspension

We may suspend affected access when reasonably necessary to address:

  • A material security threat.
  • Unlawful use or a material violation of these Terms.
  • A legal requirement.
  • Undisputed overdue payments.

For non-payment, we will provide written notice and at least 15 days to resolve the overdue amount before suspension.

Where immediate action is not required, we will provide notice and a reasonable opportunity to resolve the issue. We will limit suspension to what is reasonably necessary and restore access when the grounds for suspension have been resolved.

19. Termination and customer-data return

Either party may terminate the agreement for a material breach that remains uncured 30 days after written notice describing the breach.

Customer may also terminate as expressly permitted elsewhere in these Terms or its Order Form.

If Customer terminates because of our uncured material breach, we will refund prepaid subscription fees covering the unused period after termination.

When a subscription ends:

  • Customer’s ordinary right to use O2F ends.
  • Accrued payment obligations remain due.
  • An authorized administrator may request an export of Customer Data within 30 days, subject to lawful restrictions and reasonable identity verification.
  • Exports cover supported data and file formats; they do not include our software or internal system configurations.
  • Customer Data will be scheduled for deletion from active systems within 90 days after the subscription ends, unless a different arrangement applies under the customer agreement or continued retention is legally required.

Any post-termination export access may be provided separately from normal application access.

Protected backups may retain information temporarily until they expire under the applicable backup schedule. Retained information remains subject to applicable confidentiality and data-protection obligations.

These arrangements must remain consistent with the approved Privacy Policy and any applicable data processing agreement.

20. Changes to these Terms

We may update these Terms by providing notice of material changes.

Unless a change is required sooner by law or is necessary to address an urgent security issue, material changes affecting an existing paid subscription will take effect at renewal or when Customer expressly accepts them.

We will identify the effective date of updated Terms. Changes will not apply retroactively to an existing dispute.

21. General provisions

Neither party is responsible for a failure or delay caused by circumstances beyond its reasonable control, except that this does not excuse payment obligations already due. The affected party will take reasonable steps to reduce the impact.

Neither party may assign the agreement without the other’s consent, except to an affiliate or in connection with a merger, reorganization, or sale of substantially all relevant assets, provided the successor assumes the agreement.

If a provision is unenforceable, the remaining provisions continue in effect. A failure to enforce a provision is not a waiver.

Provisions that by their nature should survive termination - including confidentiality, ownership, accrued payments, applicable liability provisions, and dispute provisions - will survive.

The agreement consists of these Terms and applicable Order Forms and expressly incorporated agreements. It supersedes prior discussions concerning its subject matter.

22. Governing law and disputes

The agreement will be governed by the laws of the State of Texas, excluding its conflict-of-law rules.

Before starting proceedings, the parties will attempt in good faith to resolve a dispute through their designated business contacts for at least 30 days after written notice.

Unresolved disputes will be brought in the state courts located in Williamson County, Texas, or the federal courts for the Western District of Texas, unless the parties agree otherwise in writing.

Either party may seek urgent relief when necessary to protect confidential information, intellectual property, or security.

23. Notices and contact

Notices to ALINEDS DEFENSE should be sent to info@a-defense.com.

We may send account and contractual notices to Customer’s designated administrator or billing contact. Customer must keep those details current.
